General

• This agreement constitutes the complete understanding between both parties and no modifications or additions can be made unless both parties agree in writing and are signed by an authorized representative of Bayard Commerce.
• The terms and conditions are subject to change, and you acknowledge that any orders placed are governed by the terms and conditions in effect at the time of the order.
• The terms and conditions are final and enforceable, and cannot be altered or invalidated by any conditions or events.
• You expressly waive any conflicting terms or conditions that you may propose or attempt to impose.
• These terms and conditions apply to all personnel, agents, and employees of Bayard Commerce.

Guarantees and Warranties

• Any goods supplied by the company shall be subject to the manufacturing company’s warranty;
• The only entitlement you shall have in respect of those goods shall be to require Bayard Commerce to enforce such warranty against the manufacturer of those goods on your behalf.

Instant Warranty Void

• Any/All product/s bought from Bayard Commerce have to be installed by a Qualified Electrician and issued with a valid Certificate of Compliance (CoC) or an accredited installer or the warranty on the product will be void.
• Failure to use the products in accordance with instructions and specifications provided by the Manufacturer;
• Should the product has been subjected to physical damage, abuse, misuse, alteration, neglect, tampering, improper maintenance, or has been serviced, repaired, installed by persons not possessing the necessary qualifications required to do so;
• The product is not returned with an invoice and the verifiable Bayard Commerce Warranty Form confirming proof of purchase and correct installation.

Repairs and Faulty Products

• No repairs will be handled by Bayard Commerce.
• All manufacture defaults will be handled directly by manufacturers.
• Bayard Commerce shall not be liable for any loss or damage of whatsoever nature which you may suffer as a result of any unforeseen costs and/or delayed repairs done by manufacturers.
• Bayard Commerce will lodge any complaint and place you in contact with the manufacturer to process the repair work or replacement of any product that was purchased through Bayard Commerce.
• All costs for shipping to the manufacturer will be at the client’s expense should the manufacturers not offer a call out or free shipping policy to cover the expense.

Limitation of Liability

To the extent allowed by law, you agree that Bayard Commerce shall not be liable to you or any other person or entity whatsoever in respect of any loss or damage:

• caused by or arising from any fact or circumstance beyond the reasonable control of Bayard Commerce;
• which is consequential or incidental loss or damage; and/or
• Of whatever nature and howsoever arising from or in connection with the supply of goods.

Service Address and Notices

• For all purposes under this agreement including giving of any notice, the payment of any amount, the service of any process and for all other purposes arising from this agreement you hereby choose the service address set out on the quotation for the order of goods.
